Each unit includes one common share and one warrant exercisable at $0.15 for 36 months, providing potential additional capital if market conditions improve. The financing included participation by company insiders who subscribed for 200,000 units, representing a related party transaction that remained within regulatory thresholds.

The company plans to deploy the raised capital primarily toward exploration activities on its flagship Palmetto Gold Project and general working capital requirements. Located in Nevada's prolific Walker Lane mineral belt, the Palmetto project encompasses 116 unpatented mining claims covering 2,217 acres in Esmeralda County. The property benefits from a NI 43-101 compliant resource estimate and has an extensive exploration history involving major operators including Newmont Gold, Phelps Dodge Corp, Romarco Minerals, and ML Gold Corp.
