Graycliff Exploration Announces Private Placement

Graycliff Exploration Limited has announced its intention to complete a non-brokered private placement offering of up to 5 million units priced at $0.12 per unit, targeting gross proceeds of up to $600,000. Each unit consists of one common share and half of a common share purchase warrant, with the warrants exercisable at $0.18 per share for one year from issuance. The financing structure provides investors with immediate equity exposure and potential upside participation through the warrant component.

The Company plans to deploy the net proceeds toward general working capital requirements and interpretation work on geological data from its recently acquired Shakespeare gold project. This financing comes as Graycliff continues development of its 1,468-hectare property portfolio located approximately 80 kilometres west of Sudbury on the Canadian Shield, a region renowned for its mineral endowment.

Graycliff's flagship Shakespeare Project comprises one crown patented lease, two crown leases, and 40 claims associated with the historic Shakespeare Gold Mine. The Company has already completed over 12,500 metres of drilling at the property, with visible gold identified in a significant number of holes, indicating the project's exploration potential. This financing will enable the Company to advance its understanding of the property through geological data interpretation, potentially setting the stage for future exploration programs.

The private placement represents a measured approach to capital raising in the current market environment, allowing Graycliff to maintain operational flexibility while advancing its core asset. With the Company's focus on a historically productive gold district and existing drilling database, the financing positions Graycliff to systematically evaluate and potentially expand the known mineralization at Shakespeare.
